License Agreement

Effective 16 October 2026

This License Agreement is between you (“you”, the buyer) and Kudakero (“we”, “us”). It covers the Kudakero Shopify theme, its files, documentation and updates (the “Theme”), and the services included in your plan. By buying or installing the Theme, you agree to these terms.

1. What you can do

When you pay for a plan, we grant you a non-exclusive, non-transferable license to:

• Install and use the Theme on one live Shopify store, or on up to five live Shopify stores with the Agency plan.
• Install it on development, staging or preview copies of that same store.
• Change colors, fonts, layouts, content and code to suit that store.
• Keep using any version you have installed on that store, even if we stop releasing updates.

2. What you can’t do

• Use the Theme on more live stores than your plan allows: one store, or five with the Agency plan. Each additional store needs its own license.
• Sell, share, give away, sublicense or redistribute the Theme or its files, whether modified or not.
• Use the Theme, or any part of it, to create a theme or template you sell or give to others.
• Remove copyright notices from the Theme’s code.

If you are an agency or freelancer building stores for clients, the Agency plan covers up to five client stores. Beyond that, buy another license.

3. Ownership

We own the Theme and all rights in it. You are buying a license to use it, not ownership of it. Your own content, products, images and brand assets remain yours.

4. Updates and support

• Every plan includes lifetime theme updates: every new version of Kudakero we release, at no extra cost, for as long as we continue to develop and sell the theme.
• Support periods depend on your plan: 30 days of email support for Basic, 60 days for Done For You and 90 days for Premium.
• Support covers questions about the Theme’s features and settings. It does not cover third-party apps, custom code you or others add, or general store strategy unless your plan includes it.

5. Plan services

For the Done For You and Premium plans, we build your store with the Theme using the content and store access you provide. Premium also includes SEO optimization. Timelines start once we receive everything we need from you. SEO work improves how your store is set up for search engines, but we cannot guarantee specific rankings, traffic or sales.

6. Shopify

The Theme runs on Shopify. You need your own Shopify account and plan, and your use of Shopify is governed by Shopify’s own terms. Kudakero is an independent business and is not affiliated with, endorsed by or sponsored by Shopify.

7. Refunds

Refunds are handled under our Refund Policy, which forms part of this agreement. If you receive a refund, your license ends and you must remove the Theme from your store.

8. No warranty

We work hard to make the Theme reliable, but it is provided “as is”. We do not guarantee that it will be error-free, work with every third-party app, or produce particular sales results. Nothing in this agreement limits rights you have under consumer laws that cannot be excluded.

9. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, lost sales or lost data. Our total liability for any claim relating to the Theme or your plan is limited to the amount you paid for it.

10. Ending the license

If you break these terms, your license ends automatically and you must stop using the Theme and delete all copies. Sections 3, 8, 9 and 11 continue to apply after the license ends.

11. General

We may update this agreement for future purchases. The version in effect when you bought applies to your purchase. Questions about this agreement can be sent to hello@Kudakero.com.
